Terms of Service, Kabrix

Welcome to Kabrix ("Kabrix", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of the Kabrix website (www.kabrix.global), our client portal, and our advisory and consulting services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3. Advisory Services

Kabrix provides business advisory, consulting, and cross-border support services. The specific scope, deliverables, timeline, and pricing of each engagement are defined in a separate service agreement or proposal mutually agreed upon before work commences. Our published pricing on the website is subject to change and does not constitute a binding offer until confirmed in a service agreement. Advisory recommendations are based on our professional expertise and the information you provide. We do not guarantee specific business outcomes, funding results, or regulatory approvals, as these depend on factors outside our control.

4. Commitment Guarantee

Kabrix offers a written commitment guarantee: if we do not deliver the agreed-upon deliverables within the specified scope, we will continue the work at no additional charge until the deliverables are met. This guarantee does not apply to delays caused by client inaction, incomplete information, or circumstances beyond our reasonable control.

5. Fees and Payment

Fees for our Services are as published on our website or as agreed in a service agreement. Subscription (retainer) plans are billed on a recurring basis. One-time project packages are billed upon agreement. All fees are in Canadian Dollars (CAD) unless otherwise stated. Payments are processed securely through Stripe. Subscriptions may include a trial period, after which billing commences automatically unless cancelled. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

6. Client Responsibilities

You agree to: • Provide accurate and timely information requested for the provision of Services. • Respond to communications from our team within reasonable timeframes. • Not use our Services for any illegal or unauthorized purpose. • Not attempt to disrupt, reverse engineer, or compromise the security of our platform. • Respect intellectual property rights of Kabrix and other clients.

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Kabrix or its licensors and is protected by Canadian and international intellectual property laws. Deliverables created specifically for you as part of a paid engagement become your property upon full payment, unless otherwise agreed in writing. You retain ownership of all documents and information you upload to our platform. We retain a license to use aggregated, anonymized data for service improvement and analytics.

8. Confidentiality

Kabrix treats all client information as confidential. We do not disclose client information to third parties without consent, except as required by law or as necessary to provide the agreed Services (e.g., sharing with ecosystem partners for investor introductions, with your explicit consent).

9. Limitation of Liability

To the maximum extent permitted by law, Kabrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total aggregate liability for any claim arising from these Terms shall not exceed the fees paid by you to Kabrix in the three (3) months preceding the claim. We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or internet infrastructure failures.

10. Indemnification

You agree to indemnify and hold harmless Kabrix, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our Services, or your violation of any law or third-party rights.

11. Termination

You may terminate your account or subscription at any time by contacting us or through your dashboard. We may suspend or terminate your access to our Services if you breach these Terms, if your account remains inactive for an extended period, or if required by law. Upon termination, your right to use our Services ceases. We will retain your data in accordance with our Privacy Policy and legal retention obligations.

12. Governing Law

These Terms are governed by the laws of Canada and the province in which Kabrix is incorporated. Any disputes shall be resolved in the courts of competent jurisdiction in Canada.

13. Changes to Terms

We may modify these Terms at any time. We will notify registered users of material changes by email or through the platform. Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
